Since April 1, 1999, Ciena Corporation (NASDAQ: CIEN) has made several filings with the Securities and Exchange Commission (SEC) as outlined below:

Form 8-K filed on April 1, 1999:

This 8-K filing restates the historic financials of Ciena to incorporate its acquisition of Lightera Networks completed on March 31, 1999.

Form 8-K/A filed on April 5, 1999:

This filing includes a cash flow statement not included in the original restatement of financials filed on April 1, 1999.

Form 8-K filed on April 5, 1999:

This 8-K filing updates the risk factors from Ciena's 10-Q filed on February 18, 1999 to incorporate the acquisition of Lightera Networks and the planned acquisition of Omnia Communications.

This filing was made to state the risk factors in the new ``plain English'' format required by the SEC so that they could be incorporated by reference into the S-4 filing expected shortly for Ciena's acquisition of Omnia Communications.

Form 10-K/A filed on April 5, 1999:

This filing merely finalizes the exhibits accompanying Ciena's 10K filed December 10, 1998.

The SEC and Ciena have had on going discussions about which of the specific details of Ciena's existing agreement with a significant customer were required to be made public. This filing represents the results of those discussions and does not represent any change to Ciena's current and previously announced relationship with the customer.
